NOTICE OF EMERGENCY
MEETING OF ARO1 MEMBERS TO CONSIDER ADOPTION OF NEW BY-LAWS

Hello AR-01 Members:
The national organization is a non-profit corporation which has a
501(c)(3) tax exemption. When we joined, we joined as a state chapter
and by doing so we were able to attach ourselves to that tax exemption.
However, in order to retain that privilege we need to continue to follow
along with the national organization insofar as the technical and
procedural requirements of the IRS goes. Recently the IRS has challenged
the national organization on grounds that the language in the By-Laws do
not meet with their approval. Also, they wanted a set of financial
statements from the Arkansas chapter.
I prepared those financial statements and sent them to Arnold Zimmerman
and now we need to make a change in our By-Laws, and do so immediately
The IRS has put us on a very short leash. Therefore, attached hereon as
a PDF file is a set of the proposed By-Laws which contains the language
the IRS wants, located in Article II, Objects and Purposes. The changes
make it very clear that the organization is created
"exclusively for charitable, religious,
educational and scientific purposes, including for such purposes, the
making of distributions to organizations that qualify as exempt
organizations under Section 501 (c)(3), of the Internal Revenue Code, or
corresponding section of any future federal tax code."
In order to adopt these By-Laws, the requirements are a 14 day notice of
an emergency or special meeting of the members for the sole purpose of
voting on adopting the amended By-Laws. Therefore, this Notice is to
call a meeting for 2:00 PM, Sunday, September 5, 2004, at the Holley
Mountain Fire Department building to vote on the motion to adopt the
Amended By-Laws. If you decide you cannot make the meeting you can vote
by Proxy. Below is a Proxy form that will be acceptable and you can
e-mail them to me, or Christine Wise.
If you decided to vote by Proxy, please insert your name and the name of
your nominee in the space provided on the example proxy (below) and
e-mail it to me or Christine. If you nominate me, I would want to vote
in favor of adopting the amendments, however, if you still want to
nominate me and want to vote against the adoption please make sure you
note that on your Proxy.
Please exercise your right to vote, either in person or by Proxy.

exclusive right to cast my ballot at the emergency meeting of the members
of AR-01 to be held at 2:00 PM, Sunday, September 5, 2004, at the Holley
Mountain Fire Department building, and which is called for the purpose of
